By accessing or using Voxly ("Service"), operated at voxly.online, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. We may update these Terms at any time; continued use after changes constitutes acceptance.
Voxly provides AI-powered audio and video transcription with automatic speaker detection. You upload audio or video files, and our Service processes them using third-party AI models to generate text transcripts.
You must be at least 16 years old (or the age of digital consent in your jurisdiction) to use this Service. By using Voxly, you represent that you meet this age requirement.
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss resulting from unauthorized access to your account.
You retain full ownership of all audio, video, and transcription content you upload or generate through the Service ("User Content"). By uploading content, you grant Voxly a limited, non-exclusive, revocable license to process your content solely for the purpose of providing the transcription service.
We do not claim ownership of your content. We do not use your uploaded audio, video, or transcripts to train AI models or for any purpose other than delivering the Service to you.

You are solely responsible for ensuring that all audio and video content you upload was recorded in compliance with applicable laws, including one-party and two-party consent statutes. Voxly is not responsible for verifying whether you have obtained the necessary consents.
The Service uses third-party providers to process your content, including OpenAI for transcription and Google Firebase for authentication and storage. By using the Service, you acknowledge that your content may be transmitted to and processed by these third parties in accordance with their respective terms and privacy policies. We select providers with appropriate data handling practices, but we are not liable for their independent actions.
Transcriptions are generated by AI and may contain errors, omissions, or inaccuracies. Transcripts are not suitable for legal, medical, financial, or compliance purposes without independent human review and verification. Voxly makes no guarantee of accuracy, completeness, or fitness for any particular purpose.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOXLY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO VOXLY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY US DOLLARS ($50), WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless Voxly and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.
Uploaded audio and video files are processed and may be temporarily stored for a limited period to deliver the Service. You may request deletion of your account and associated data at any time by contacting us. Upon account termination, we will delete your data within 30 days, except where retention is required by law.
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We are not liable for any modification, suspension, or discontinuance of the Service. Free tier access may be revoked at any time without notice.
We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination shall survive (including Limitation of Liability, Indemnification, and Disclaimers).
Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration. This arbitration agreement does not preclude you from bringing issues to the attention of applicable regulatory agencies.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
